Frequently asked questions
When should partners sign a shareholders’ agreement?
The right time is before any disagreement: at founding, when a new partner joins or before an investment round.
What is the difference between the articles of association and a shareholders’ agreement?
The articles of association (contrato social) are registered with the Board of Trade (Junta Comercial) and present the company to third parties. The shareholders’ agreement is, as a rule, a private document that details the rules among the partners, such as exit, sale of equity and deadlock.
